CONSTITUTION OF THE BRISTOL BRITANNIA XM496 PRESERVATION SOCIETY - Ver July 2009-01 -2009 CONSTITUTION COMMENCING JULY 01 2009
- The name of the Society shall henceforth be – Bristol Britannia XM496 Preservation Society. Hereafter referred to as the Society.
- The address for communications relating to the Society shall be: c/o 27 Brimble Hill, Wroughton, Swindon, SN4 0RQ. The above address may be changed as dictated by Society Officers.
The Society shall be registered with HM Inland Revenue as a Not For Profit society.
Purpose of the Society.
- As effective from 1st July 2009 the Society’s purpose shall be exclusively to support the Preservation and Restoration of ex RAF Britannia XM496 known as Regulus.
- It shall be recognised and observed that the aircraft is to be maintained as an authentic recreation of its original RAF operating condition and as a tribute to the RAF Transport fleet past and present.
- It shall be recognised and observed that overall control of the aircraft is vested by its main overseas owner via local representatives, who shall enjoy authority over all other persons.
- Support and Preservation shall comprise restoration utilising wherever possible only such items and materials as used in the original build and maintenance of RAF Britannia aircraft and in accordance with original RAF and Manufacturers documentation and procedures.
- No work of any nature whatsoever shall be performed without prior authority of the appropriate Committee Member skill set.
- No aircraft systems of any nature whatsoever shall be operated without supervision of the appropriate skilled Committee Member.
- Aircraft electrical and hydraulic systems shall only be activated by the appropriate skilled Committee Member.
- No modifications are permitted unless approved by an appropriate to trade involved Committee Member.
- Health and safety regulations shall be observed without exception at all times.
- The Society shall not be involved in the support or promotion of any airframe other than XM496.
- IEE Regulations in respect of mains electricity operated items shall be observed at all times.
- The Society shall generate funds to enable the Society to achieve its purpose.
- The Society shall support the preservation and restoration of ground and maintenance equipment associated with RAF Bristol Britannia aircraft.
- The Society shall recruit as Society Members persons who are willing to conduct maintenance of the Britannia XM496 under the direction of the appointed technical team. Such Members to be known as `The Working Members’
- Working members shall be divided into two groups.
- Technical Working members
- Support Working Members.
- The Society shall recruit as Society Members persons who agree to support the aims and principles of maintaining the Britannia XM496.
Officers
The Officers shall comprise:
- Vice President and co Vice President – Sole link to aircraft title holders.
- Chairman – Overall Management Co Coordinating Function.
- CEO/Secretary – To hold sole negotiating rights with Kemble Airfield Authorities
- XM496 Press Officer- With responsibility for sponsorship issues and publicity..
- XM496 General Engineering Specialists. – Power Plants – Airframes – Hydraulics.
- XM496 Electrical Engineering Specialist.
- Additional committee members may be appointed as required by the principle Officers as in 5 a. above.
- Elections shall be held by Mail or Internet with a simple majority sufficing for any replacement or re election of the Officers.
- Officers shall become due for re-election solely on standing down or when required by a vote requested by not fewer than 20 members of good standing.

- Membership
- Annual Membership – Open to any person who supports the aims of the Society and agrees to be bound by its Constitution. Subscription shall be as from time to time determined by the Society.
- Annual Member Subscriptions shall run for a period of twelve months.
- Subscriptions shall be valid for twelve months from first day of the month of joining.
- Subscription as of July 2009 shall be £25 per person per annum until changed by review.
- Current subscriptions shall be honoured until due renewal.
- All Annual members to receive newsletters when published.
- Life Membership -.
- There shall be a single additional level to Annual membership of Life Membership incorporating pre existing Life and Honorary Members as decided and nominated by the Committee.
- Transferred previous Life and Honorary members shall be instated as such without fee.
- Additional Life members may join by application.
- New Life Members shall pay a fee of £ 160.00.
- Persons who in the consideration of the Committee have contributed significantly to the good of the Society shall be awarded a no fee Life membership.
- All Life members to receive newsletters when published.
- Working Members – Any person actively and regularly engaged in working on the preservation and restoration of ex RAF Britannia XM496 shall after a period of twelve months and with recommendation of three Officers of the Society, be awarded Life membership.
- There shall be two levels of Working Members:
- Technical Working members comprising only persons qualified and employed as a Technical Trade Working Engineer may perform any tasks whatsoever allied to Britannia engineering. Qualified status as a Technical Trade Working Engineer shall only be granted following vetting and recommendation of a minimum of two Britannia qualified engineers. One objection from a Committee Member or transgression of any Society conditions shall, with the exception of serving Committee members, exclude persons from membership..
Trade skills involved shall as a minimum be:
a.Propulsion Engineer- To include associated equipment.
- Electrical Engineer – To include all associated equipment.
- Airframe Engineer – To include all Hydraulics and pneumatics
- Avionics Engineer – To include all Communication, Radar and Navigation equipment.
- Support Working members shall comprise persons to perform interface with visitors and carry out non technical tasks.
- Qualified status as a Support Working Member shall only be granted following vetting and recommendation of a minimum of two Britannia Committee Members.
- One objection from a Committee Member or transgression of any Society conditions shall, with the exception of serving Committee members, exclude persons from membership.
Meetings
- Committee Meetings may be held by phone or Internet communication, as and when deemed required by two or more members of the Committee.
- All voting shall be carried on a simple majority of those voting.
Income and Distribution
- Income shall be from :
- Membership subscriptions.
- Donations specifically made to the Society.
- Any specific levy imposed on `on board’ visitors
- All other receipts derived from Society activities.
- Distribution of Society funds shall be via:
- Payment of administration expenses of the Society.
- Reimbursement of expenses to Society members for out of pocket expenses incurred by member while performing services or obtaining goods on behalf of the Society.
- Any disbursement incurred or due by the Society.

- Payment of any expense incurred in supporting XM496.
- The Society CEO in consultation with the Committee shall be empowered to enter into arrangement with Kemble Air Services for the lease of hard standing and associated facilities to include marketing issues operated on the Kemble Air Services property.
- Third Party Insurance shall be held in respect of the General Public to include all Society General Members and separately for Working Members.
Banking
- A bank account shall be established with two signatories.
- No signatory shall be enabled by single signature to sign cheque's in excess of eight hundred pounds.
- Conduct and Mutual Regard
- At all times the Officers and Members of the Society shall act to preserve the good name and integrity of the Society and XM496.
- The Society shall support the best interests of all its members.
- No Officer of The Society shall receive personal financial reward for any matter arising from involvement with XM496 or the XM496 Society.
- Any person whatsoever who contravenes item 9. Section a, b or c, shall be removed from membership of the Society.
